《企業信息公示暫行條例》（以下簡稱《條例》）自2014年10月1日起施行，標志著企業已經由以往的“工商年檢”正式改為“企業信息公示制”。為促使集團所屬企業正確履行信息公示義務，避免潛在的風險，2014年11月3日，集團證券法務部、辦公室、財務部、規劃運營部與北京明誠律師事務所等9人對條例進行了分析，法律風險解讀如下：
  "Provisional Regulations on Enterprise Information Publicity" (hereinafter referred to as "Regulations") shall come into force on October 1, 2014, marking the enterprises have been changed from the "industrial and commercial inspection" officially to "enterprise information publicity system". In order to promote enterprise group correctly perform information publicity obligations, and avoid the potential risk, November, 3, 2014，Group Securities Legal Department, Office Department, Finance Department, Planning and Operation Department and Beijing Mingcheng Law Firms and other 9 persons had carried on the analysis to the ordinance, interpretation of legal risk are as follows:
一、風險及影響 Risks and Impacts
1、企業未如期公示年度報告或信息不實將入“黑名單”
  If enterprise fail to public enterprise annual reports or provid false information, it will be included in the "black list"
（1）列入經營異常名錄 Be included in the list of operational anomalies
    未按規定期限公示年度報告或者未按工商部門責令的期限公示有關企業信息的；企業公示信息隱瞞真實情況、弄虛作假的。
  Not public annual report according to the prescribed time limit or not public relevant enterprise information according to the prescribed time limit the Industry and Commerce Department ordered; Enterprise conceals the true situation, or resorts to deceit.
（2）列入嚴重違法企業名單 Be included in the list of serious illegal enterprises list
    滿3年未按規定履行公示義務的，列入嚴重違法企業名單。
If the enterprise didn’t fulfill the obligation of publicity for 3 years, it will be included in the list of serious illegal enterprises list
2、部分業務將被限制或禁入 Part businesses will be restricted or forbidden
   在政府采購、工程招投標、國有土地出讓、授予榮譽稱號等工作中，對被列入經營異常名錄或者嚴重違法企業名單的企業將依法予以限制或者禁入。
  In government procurement, project bidding, sales of state-owned land, granted honorary titles and so on work, the enterprises which were included in the list of exception or serious illegal enterprises shall be restricted or banned.
3、企業負責人履職可能受限制 The persons in charge of the enterprise performance may be limited.
    被列入嚴重違法企業名單的企業的法定代表人、負責人，3年內不得擔任其他企業的法定代表人、負責人。
  The legal representatives ,or the responsible persons of the enterprises which are included in the list of serious illegal enterprise, shall not act as the legal representatives ,or responsible persons of other business people for 3 years.
二、企業信息公示 Enterprise Information Publicity
1、年度報告公示 Annual report Publicity
（1）公示時間：每年1月1日至6月30日（應在國資委年度審計會審結束后）
  Publicity Time: every year in January 1st to June 30th (after the end of the annual SASAC audit review)
（2）公示方式：通過企業信用信息公示系統
  Public ways: by the enterprise credit information publicity system
（3）公示內容（上一年度）： Publicity content (last year):
① 企業通信地址、郵政編碼、聯系電話、電子郵箱等信息；
② 企業開業、歇業、清算等存續狀態信息；
③ 企業投資設立企業、購買股權信息；
④ 企業為有限責任公司或者股份有限公司的，其股東或者發起人認繳和實繳的出資額、出資時間、出資方式等信息；
⑤ 有限責任公司股東股權轉讓等股權變更信息；
⑥ 企業網站以及從事網絡經營的網店的名稱、網址等信息；
⑦ 企業從業人數、資產總額、負債總額、對外提供保證擔保、所有者權益合計、營業總收入、主營業務收入、利潤總額、凈利潤、納稅總額信息。
　　上述第①—⑥項必須公示，第⑦項由企業自行選擇是否向社會公示。
① Enterprise communication address, zip code, telephone, e-mail and other information;
② Enterprise business, business, liquidation exist status information;
③ Enterprises to invest and set up enterprises, the purchase of shares information;
④ If enterprise is a limited liability company or Limited by Share Ltd, the amount of subscribed contribution   and the paid contribution from its shareholders or promoters, the contribution method and time;
⑤ Shareholder equity transfer of ownership change information in limited liability company;
⑥ The enterprise website and enterprise’name and website which engaged in network business online;
⑦ The number of employees of enterprises, total assets, total liabilities, provide external guarantee, total equity, revenue, the main business income, total profit, net profit, total tax information.
  The ①—⑥ items must be publiced, as to ⑦, enterprises can choose to whether make it public.
2 、即時公示 Instant publicity.
（1）公示時間：自下列（3）公示內容的信息①至⑥形成之日起20個工作日內
  Publicity Time: within 20 working days from the (3) ① to ⑥ item formations of publicity content
（2）公示方式：通過企業信用信息公示系統
  Public ways: by the enterprise credit information publicity system
（3）公示內容：Publicity content:
① 有限責任公司股東或者股份有限公司發起人認繳和實繳的出資額、出資時間、出資方式等信息；
② 有限責任公司股東股權轉讓等股權變更信息；
③ 行政許可取得、變更、延續信息；
④ 知識產權出質登記信息；
⑤ 受到行政處罰的信息；
⑥ 其他依法應當公示的信息。
① If enterprise is a limited liability company or Limited by Share Ltd, the amount of subscribed contribution and the paid contribution from its shareholders or promoters, the contribution method and time;
② Shareholder equity transfer of ownership change information in limited liability company;
③ The information of administrative license obtained, continuation,or change;
④ The intellectual property pledge registration information;
⑤ Receive administrative punishment information;
⑥ The other information should be publiced.
三、 政府部門公示企業信息 Government departments make enterprise information public
1、工商行政管理部門 The Administrative Department for Industry and Commerce
（1）公示時間：自下列（3）公示內容的信息①至⑤形成之日起20個工作日內
  Publicity Time: within 20 working days from the (3) ① to ⑤ item formations of publicity content
（2）公示方式：通過企業信用信息公示系統
  Public ways: by the enterprise credit information publicity system
（3）公示內容：Publicity content:
① 注冊登記、備案信息；
② 動產抵押登記信息；
③ 股權出質登記信息；
④ 行政處罰信息；
⑤ 其他依法應當公示的信息。
① The registration, record information;
② The chattel mortgage registration information;
③ The equity pledge registration information;
④ Administrative penalty information;
⑤ The other information should be publiced.
2、其它政府部門 Other government departments
① 行政許可準予、變更、延續信息；
② 行政處罰信息；
③ 其他依法應當公示的信息。
① Administrative permission granted, alteration, extension information;
② Administrative penalty information;
③ The other information should be publiced.
四、涉密信息處置 Disposal of Classified Information
1、國家秘密 State secrets
    涉及國家秘密、國家安全或者社會公共利益的涉密信息報請主管的保密行政管理部門或者國家安全機關批準。
  The classified information Involving state secrets, national security or public interests should reported to the secrecy administrative department or the state security organ for approval.
2、商業秘密 Trade secret
（1）應當予以特殊標注，并說明不同意公示。
  It shall be a special mark, and that does not agree with the publicity.
（2）若政府主管部門選擇公示，應由該主管部門報請上級主管部門批準。
  If the government department select public, that department shall report to the superior and get approval.
五、監管方式 Ways of supervision
1、隨機抽查 Random spot check
    工商行政管理部門將根據企業注冊號等隨機搖號，確定抽查的企業，組織對企業公示信息的情況進行檢查。
  The administrative department for Industry and Commerce will choose enterprise at random, and determine the spot check of enterprises, and organize the inspection of enterprise publicity information.
2、公眾舉報 Public report
    工商行政管理部門應當自接到舉報材料之日起20個工作日內進行核查，予以處理，并將處理情況書面告知舉報人。
  The administrative department for Industry and Commerce shall check and handle the case within 20 working days after the report, and the written informant of case will be informed to the informer.
六、不實信息更正 False information correct
1、政府部門發現其所公示的信息不準確的，應當及時更正；企業有證據證明政府部門公示的信息不準確的，有權要求該政府部門予以更正；拒不更正的，可以提起行政復議或行政訴訟。
  Government departments found that the publicity of the information is not accurate, correct it in time; The enterprise has evidence to prove that the government departments publicity information is inaccurate, it have the right to require the government to make correction; if the department refuse to correct, the enterprise may bring an administrative reconsideration or administrative litigation.
2、企業發現其所公示的信息不準確的，應當及時更正；但是，企業年度報告公示信息的更正應當在每年6月30日之前完成。更正前后的信息應當同時公示。
  Companies found that the publicity of the information is not accurate, correct it in time; However, corporate annual report information publicity corrections should be finished before June 30th of each year. The information before and after correction shall be publiced at the same time.
